1. Acceptance of Terms
By accessing or using the Spring Global platform (“Service”), you agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.
2. Description of Services
Spring Global provides an AI-powered software platform designed to help consumer packaged goods (CPG) companies with [e.g., demand forecasting, pricing optimization, shelf analytics, etc.]. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
3. Account Registration
You agree to provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at team@springglobal.com if you suspect unauthorized access.
4. Intellectual Property
All software, algorithms, models, interfaces, and content provided through the Service are the exclusive property of Spring Global or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term. You may not copy, modify, reverse engineer, decompile, or attempt to extract the source code of any part of the Service.
5. AI Outputs & Disclaimers
Our platform uses artificial intelligence and machine learning to generate insights, forecasts, and recommendations. You acknowledge that:
- AI-generated outputs are probabilistic in nature and may not always be accurate.
- Outputs should be reviewed by qualified personnel before being used to make business decisions.
- Spring Global is not liable for any business decisions made in reliance on AI-generated outputs.
6. Client Data
You retain ownership of all data you upload or input into the platform (“Client Data”). By using the Service, you grant Spring Global a limited license to process your Client Data solely to provide the Service. Spring Global will not use your Client Data to train AI models without your explicit written consent. We may use aggregated, anonymized, and de-identified data derived from platform usage to improve our services.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations.
- Upload data that infringes on the intellectual property or privacy rights of any third party.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Resell, sublicense, or otherwise commercially exploit the Service without written permission.
8. Payment Terms
Fees are billed in advance on a [monthly/annual] basis. All fees are non-refundable except as required by law or as explicitly stated in your Order Form. If payment is not received within 15 days of the due date, we reserve the right to suspend access to the Service. Prices are subject to change with 30 days’ written notice.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Spring Global’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL Spring Global BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless Spring Global and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your Client Data, or your violation of these Terms.
11. Term & Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate with 30 days’ written notice. Upon termination, your access will be revoked and we will delete or return your Client Data within 60 days, unless otherwise required by law.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in [City, State].
